Community Membership Terms and Conditions
1. Definitions
For the purposes of these Terms & Conditions, the following terms shall have the corresponding meanings:
1.1 Community Member: a user who pays a monthly fee entitling them to enjoy the benefits of the use of some or all of the Community Membership Benefits.
1.2 Community Membership Benefits: The services, privileges, and entitlements set out in clause 4 below that the Community Member shall be eligible to receive upon paying the Subscription Fee and complying with these Terms and Conditions.
1.3 Monthly: every full calendar month. A full calendar month starts on the first day of the month and ends on the last day of the same month.
1.4 Online Portal: the online portal to be found on the Community Member website at https://shop.le.ac.uk/ for payment of the Subscription Fee.
1.5 Space Park Leicester : Space Park Leicester, part of the University of Leicester.
1.6 Space Park Leicester Brand Guidelines: the guidelines issued by Space Park Leicester governing the Community Member’s usage of Space Park Leicester Bronze Member Brand Mark, as issued to the Community Member at the commencement of their subscription and which can be found here https://shop.le.ac.uk/
1.7 Space Park Leicester Bronze Member Brand Mark: the brand mark created by Space Park Leicester to denote a company or organization is a Community Member;
1.8 Subscription Fee: The fee payable by the Community Member to Space Park Leicester in exchange for Community Membership rights, privileges, and access to Community Membership benefits and services as set out in these Terms & Conditions.
1.9 Termination: The cessation or revocation of Community Membership pursuant to Clause 7 of this Agreement.
1.10 UK GDPR: means the UK General Data Protection Regulation and the Data Protection Act 2018 (as amended by regulations made under the European Union (Withdrawal) Act.
2. Community Membership Terms
2.1 Prospective Community Members must apply for Community Membership via Space Park Leicester 's official process and provide:
• Full company name.
• Contact details (address, email, phone number).
• Payment of the Subscription Fee.
2.2 Community Membership shall commence following Space Park Leicester’s acceptance of the application and confirmation of payment of the Subscription Fee.
2.3 Community Membership shall last for a period of 12 calendar months unless terminated in accordance with Clause 7 below. Community Members will need to renew their Community Membership with Space Park Leicester annually and there will be no automatic renewal of any Community Membership.
2.4 Community Membership shall not confer any proprietary rights upon the Community Member over Space Park Leicester 's assets or property.
3. Subscription Fee and Payment Terms
3.1 The Subscription Fee shall be shall be £228 (exclusive of VAT) per annum, payable as a one-off annual payment, equivalent to £19 per month (exclusive of VAT) over a 12-month period.
3.2 Payments shall be made to Space Park Leicester through the Online Portal.
3.3 Space Park Leicester shall provide receipts for all payments made by the Community Member.
3.4 Full payment shall be made in accordance with the agreed payment schedule. Failure to pay within 10 working days after the due date shall constitute a breach of this Agreement and may result in suspension or termination of Community Membership under Clause 7.
4. Community Membership Benefits
4.1 Community Members shall be entitled to the following benefits:
4.1.1 access to an online community platform hosted by Space Park Leicester (or equivalent digital channel) intended to support peer engagement, information sharing, and announcements;
4.1.2 monthly updates highlighting relevant funding calls, programmes, events, or opportunities identified by Space Park Leicester or its partners;
4.1.3 access to 2 hours’ (annually) of virtual assistance with bid feasibility delivered through a programme of regular intellectual property and grant development clinics; Space Park Leicester
4.1.4 access to selected community and networking events hosted or supported by Space Park Leicester;
4.1.5 access to a 7.5% discount on selected continued professional development courses offered by Space Park Leicester or the University of Leicester and its affiliates;
4.1.6 access to preferential rates, offers, or benefits made available by third‑party partners of Space Park Leicester from time to time;
4.1.7 access to an annual talk or briefing via a document focused on UK space policy, regulation, or strategic developments;
4.1.8 access to MyCareers, a jobs portal that is exclusively used by the University of Leicester students and alumni to advertise employment opportunities at the Community Member’s organization; 4.1.9 access to opportunities to pitch the Community Member’s business, technology, or capability at selected sessions organised by Space Park Leicester or at events led by partners of Space Park Leicester; and
4.1.10 access to signposting by Space Park Leicester to University of Leicester services, regional business support organisations, funding bodies, accelerators, or external providers which the relevant Community Member might find value and where appropriate.
4.1.11 receipt of Space Park’s Leicester’s monthly newsletter.
4.2 The Community Member acknowledges and agrees the following:
4.2.1 the access granted at clause 4.1.1 to the online platform hosted by Space Park Leicester may be paused, migrated, or replaced at any time with alternative communication channels at Space Park Leicester’s sole discretion;
4.2.2 the access to monthly updates at clause 4.1.2 will typically be on a monthly basis but may vary and are curated on a reasonable endeavours basis and are not intended to be comprehensive or tailored to individual businesses;
4.2.3 The access to the bid feasibility clinics at clause 4.1.3 may be led by internal colleagues from Research & Enterprise Development, University of Leicester academics, or suitably qualified external partners and the support provided through these clinics is advisory and strategic in nature. It does not include bid writing, detailed technical development, or any commitment by Space Park Leicester or the University of Leicester to participate in, sponsor, or submit any proposal. Attendance is subject to availability and may be capped per session. Responsibility for bid development, submission, and compliance remains entirely with the Community Member;
4.2.4 access to selected community and networking events hosted or supported by Space Park Leicester Leicester at clause 4.1.4 may have limited capacity or require additional registration. Attendance is not guaranteed and may be prioritised where demand exceeds capacity. Event formats, frequency, and eligibility may vary;
4.2.5 access to the 7.5% discount on selected continued professional development courses at clause 4.1.5 are subject to course availability, eligibility criteria, and standard booking terms. Discounts apply only to qualifying courses and may be withdrawn or amended at any time;
4.2.6 access to the preferential rates, offers, or benefits made available by third‑party partners of Space Park Leicester Leicester at clause 4.1.6 are subject to change, availability, and third‑party terms. Space Park Leicester does not guarantee the continuation or scope of any specific offer;
4.2.7 access to the annual UK space policy talk or briefing at clause 4.1.7 is subject to availability, scheduling and capacity and the format, speakers, and delivery method (in‑person or virtual) may also vary;
4.2.8 access to MyCareers at clause 4.1.8 is subject to the Community Member complying with the University of Leicester’s advertising policy as issued and amended from time to time;
4.2.9 access to pitch business opportunities at clause 4.1.9 is no guarantee of offer or selection for business opportunities and such opportunities are curated and may be thematic or invitation‑based; and
4.2.10 access to the signposts by Space Park Leicester at clause 4.1.10 is provided on a reasonable endeavours basis and does not constitute endorsement or guaranteed access.
4.3 Community Membership Benefits may be subject to availability, prior arrangement, and use limitations.
4.4 Community Membership Benefits shall not be transferable to third parties except as permitted in advance in writing by Space Park Leicester (such permission to be at the sole discretion of Space Park Leicester).
5. Rights and Obligations of Community Members
5.1 The Community Member shall adhere strictly to Space Park Leicester all rules issued concerning proper conduct, use of services and participation in on-line activities.
5.2 It is the Community Member’s responsibility to inform Space Park Leicester of any changes to their personal or contact details to ensure proper communication.
5.3 The Community Member shall not act in a way that brings Space Park Leicester into disrepute or harms other Community Members.
6. Obligations of Space Park Leicester
6.1 Space Park Leicester shall use its reasonable endeavours to ensure the provision of the Community Membership Benefits as specified in Clause 4 in a manner consistent with reasonable expectations and good practice.
6.2 Space Park Leicester shall notify Community Members of changes to its rules, payment schedules, events, or significant updates reasonably in advance, but in any event not less than 30 days from the intended date of implementation save in case of emergency.
6.3 Space Park Leicester shall comply with all obligations under UK GDPR concerning its Community Members data protection and privacy.
7. Termination of Community Membership
7.1 Community Membership may be terminated in the following instances:
• By the Community Member: The Community Member may resign from Community Membership by providing written notice to Space Park Leicester, with termination effective immediately or at the end of the current Community Membership term, as specified by the Community Member.
• By Space Park Leicester: Space Park Leicester may terminate this Agreement for:
• Non-payment of the Subscription Fee after serving the Community Member [30] days written notice.
• Breach by the Community Member of their obligations under Clause 5.
• Conduct that brings Space Park Leicester or its Community Members into disrepute.
7.2 Upon termination, the Community Member shall lose access to all Community Membership Benefits Space Park Leicester
8. Dispute Resolution
8.1 In the event of a dispute arising under this Agreement, the Parties agree to resolve such disputes in good faith and via mediation facilitated by an independent mediator agreed upon by the Parties within 30 days of the dispute arising.
8.2 If mediation does not resolve the dispute within 30 days, the dispute shall be referred to arbitration under the Arbitration Act 1996, with the decision of the appointed arbitrator being final and binding.
9. Confidentiality and Data Protection
9.1 Space Park Leicester shall maintain compliance with the UK GDPR and confirms that Community Member data shall be collected, stored, processed, and used solely for the purpose of administering Space Park Leicester and delivering Community Membership Benefits.
9.2 Personal data shall not be disclosed to third parties without prior notice to and explicit consent from the Community Member, except where legally required.
9.3 Space Park Leicester shall adopt strict data security protocols to safeguard Community Member information from unauthorised access, disclosure, or misuse.
10. Limitation of Liability
10.1 Nothing in this Agreement shall exclude liability for death or personal injury caused by negligence or fraud.
10.2 Except as required by law, neither Party shall be liable for indirect or consequential loss arising out of or in connection with this Agreement.
10.3 Space Park Leicester’s aggregate liability for claims arising under this Agreement shall not exceed the total amount of Subscription Fees paid by the Community Member to Space Park Leicester within the preceding 12-month period.
11. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings or agreements between them concerning the subject matter hereof. No amendments or modifications shall be made unless agreed in writing and signed by authorised representatives of both Parties.
13. Notices
All notices required under this Agreement shall be made in writing and delivered to the Community Member at the contact details provided by the Community Member to Space Park Leicester and to Space Park Leicester at its address being Space City, 92 Corporation Road, Leicester, LE4 5SP or via email at enquiries@space-park.co.uk. Notices shall be deemed effective five business days after delivery by post or one business day after sending via email.
14. Intellectual Property
14.1 Space Park Leicester grants the Community Member a non-exclusive, revocable licence to use the SPL Bronze Member Brand Mark for the duration of the Community Member’s membership. Space Park Leicester
14.2 The Community Member shall not use Space Park Leicester’s intellectual property for commercial purposes or in any manner that may harm Space Park Leicester’s reputation and shall comply in such use at all times with the SPL Brand Guidelines.
